Terms of Service

1. Who you are contracting with

All sales are made by PalletCove Liquidation LLC, a limited liability company formed in Texas and operating from 4820 Cove Industrial Blvd, Dallas, TX 75236. Placing an order means you accept these terms.

2. Business-to-business sales

This site sells wholesale liquidation inventory to resellers and businesses. By ordering, you confirm you are at least 18, are purchasing for resale or business use, and have authority to bind the business you represent.

3. Orders and acceptance

An order placed online is an offer to purchase. A contract forms only when we confirm the order in writing and reserve the load. We may decline or cancel an order if inventory has sold, if pricing was published in error, or if we cannot verify the buyer.

4. Pricing, taxes and payment

• Prices are in US dollars and exclude freight unless expressly stated.
• Texas sales tax applies unless a valid resale certificate is on file. Texas Sales & Use Tax Permit on file — resale certificates accepted for tax-exempt purchasing.
• We accept major credit cards, PayPal, ACH transfer and wire. Truckload orders may require ACH or wire.
• Payment must clear before dispatch. Net terms are available only after written credit approval.

5. Condition grading and manifests

Liquidation inventory consists of customer returns, overstock, shelf-pulls and closeouts. Condition grades and manifests describe inventory to the best of our knowledge based on supplier records and our own inspection. Manifest retail values are estimates supplied for reference and are not a guarantee of resale value, unit condition, completeness or functionality.

6. Title, risk and freight

Unless otherwise agreed in writing, title and risk of loss pass to the buyer when the load is loaded onto the carrier at our dock. We arrange freight as your agent and quote it before payment. Detention, redelivery, storage, liftgate and residential surcharges incurred after dispatch are the buyer's responsibility.

7. Inspection, shortages and claims

Inspect every delivery before signing. Note visible damage or shortage on the delivery receipt and contact us within 48 hours with photographs. Claims outside this window, or on loads signed for clean, may not be recoverable from the carrier. Our Return Policy sets out the full claims process.

8. Final sale

Pallets, truckloads, auction lots and flooring are sold as-is and final sale. This does not affect legitimate claims for transit damage, shortage or a load materially different from its listing.

9. Resale conditions

• Do not represent liquidation goods as new retail stock when they are graded as returns.
• Do not resell recalled, unsafe or restricted goods. Check recall status before selling.
• Retailer names identify the origin of a load only. We are not an agent, affiliate or authorised dealer of any retailer or brand named on this site.
• Original manufacturer warranties generally do not transfer on liquidation inventory.

10. Accounts

You are responsible for the confidentiality of your account credentials and for activity under your account. Notify us immediately of unauthorised use. We may suspend accounts used for fraud, chargeback abuse or breach of these terms.

11. Intellectual property

Site content, photography, copy and branding are owned by PalletCove Liquidation LLC and may not be copied or reused without written permission. Third-party trademarks remain the property of their owners.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from any order is limited to the amount you paid for that order. We are not liable for lost profits, lost resale margin, business interruption or indirect or consequential damages.

13. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including carrier disruption, severe weather, labour action, supplier failure or government action.

14. Governing law and disputes

These terms are governed by the laws of the State of Texas. The parties submit to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas. We ask that you contact us first so we can attempt to resolve any dispute directly.

15. Changes

We may update these terms. The version in force at the time you place an order governs that order.
